Yet, even within one of the world’s most successful business models, deep-seated structural weaknesses, rigidities, and systemic risks can emerge—specifically when the chain of transparency is broken.

At a time when small and medium-sized enterprises (SMEs) are already grappling with rising operating costs, the energy crisis, and volatile consumer spending, the protective umbrella of a large network can, in some instances, prove dangerous.

There is growing concern across the market regarding the repercussions of market consolidation policies, unfair competition, and inadequate state oversight.

When major restaurant chains falter, the impact is not confined to corporate headquarters; it instantly ripples out to hundreds of small franchisees—some of whom have invested their life’s savings into these ventures.

The illusion of “guaranteed success” and the contagion effect

For decades, franchising has been promoted as the ideal solution for new or small-scale investors. The argument was simple: you buy a ready-made, proven business model and a recognizable brand, thereby drastically reducing business risk.

However, market reality proves that risk does not disappear; it merely shifts.

For decades, franchising has been promoted as the ideal solution for new or small-scale investors. The argument was simple: you purchase a ready-made, proven business model and a recognizable brand, thereby drastically reducing business risk.

However, market reality demonstrates that risk does not disappear; it merely shifts.

The most acute danger arises when the parent company encounters serious problems—whether involving tax audits, frozen accounts, legal entanglements, or asset seizures—as the impact on the entire network is instantaneous.

A franchisee might operate their outlet with complete compliance—paying staff, suppliers, and taxes on time—only to find themselves, overnight, without raw materials, without access to the central ordering software, or with the central call center and mobile application rendered inoperative. This reliance on centralized infrastructure effectively becomes an “Achilles’ heel.”

Loss of Reputation

The primary asset for which a franchisee pays royalties and an initial entry fee is the reputation of the brand.

When the central brand is hit by negative publicity, scandals, or allegations of illicit practices, the damage to its reputation immediately extends to the local outlet. Consumers do not distinguish between the independent entrepreneur—the franchisee—and the parent company.

The result is a sharp and rapid decline in turnover, for which the local business owner bears no responsibility whatsoever; yet, at the same time, they remain burdened by fixed operating costs (rent, payroll, and debt obligations).

Power Asymmetry and the Contractual “Trap”

At the core of the problem lies a profound power asymmetry between the franchisor and the franchisee. In the Greek market, the vast majority of franchise agreements are “contracts of adhesion”—meaning they are drafted unilaterally by the parent company.

These agreements impose the following:

Strict obligation regarding suppliers: The franchisee is required to purchase raw materials exclusively from the franchisor or from approved suppliers—often at prices higher than those found on the open market.

Lack of pricing autonomy: Small business owners are unable to adjust their prices or promotional offers in response to local market conditions as a defensive measure.

Asymmetric risk distribution: While the franchisor collects a fixed percentage of the turnover, the franchisee bears the full business risk of potential losses.

Furthermore, in networks where centralized point-of-sale (POS) or order-taking systems are mandated, small franchisees risk exposure to tax authorities should it be discovered that these central platforms have been operating using non-compliant practices.

Market Concentration, Unfair Competition, and the Absence of the State

Concerns regarding the franchise model are part of a broader and more dangerous trend: the aggressive concentration of the market.

Large chains and multinational conglomerates, by leveraging massive economies of scale, are able to drive down prices, secure preferential agreements with suppliers, and dominate the advertising landscape. Faced with such aggressive pricing strategies, traditional small businesses find themselves unable to compete.

This problem is exacerbated by inadequate state oversight. The lack of substantive, proactive, and rigorous monitoring by regulatory authorities facilitates the emergence of oligopolistic practices.

The market is left to operate under the “law of the strongest,” where major conglomerates dictate the rules of the game, while regulatory mechanisms often intervene only after the fact—once the damage to the market and its workforce has already been done.

The Social Impact: Employment and the Local Economy

The contraction of small businesses and the collapse of franchise networks are not merely figures on a balance sheet; they carry a direct and profound social impact. The food service and retail sectors form the backbone of employment in national economies.

When a network collapses, or when a small business owner is forced to shut down—squeezed by unfair competition—jobs are immediately lost, triggering waves of unemployment at the local level.

Private capital and years of savings—invested with the hope of self-employment—are devalued. Local markets become desolate, as the concentration of business activity within a few large corporate groups drains wealth from local communities, funneling it instead into centralized or multinational portfolios.

Highlighting these risks does not negate the fact that the franchise model remains one of the most successful globally, provided it is implemented with transparency, professionalism, and mutual benefit. In the international market, there are many sound business groups that deliver genuine value to their franchisees.

For decades, the franchise model has been one of the most popular pathways into entrepreneurship.
